If you are an individual providing services (“Sitter”), then by registering to use or using the Website or the App, you represent and warrant that: (a) you are 16 years old or older, (b) you are willing to submit all information Sunshine Sitters requires for a background check to be performed by a third party provider, and you consent to Sunshine Sitters performing such background check; (c) you have the legal right to work in the United States; and (d) hold an active CPR Certification and submit that to Sunshine Sitters to have on file. Family or Group Eligibility. If you are a family or group using the Sunshine Sitters platform to obtain the services of a Sitter, then by registering to use or using the Website or the App, you represent and warrant that your use thereof is for the purposes intended by Sunshine Sitters. Limitations of Obligations and Responsibilities of Sunshine Sitters. Sunshine Sitters has no obligation to verify the accuracy of any content submitted to the Website by a user or anyone other than Company (“User Content”), including, without limitation, profiles and reviews. Sunshine Sitters has no control over the accuracy, completeness, reliability, or timeliness of profiles of our users, reviews, or other User Content submitted on the Website or App and make no representations about any such User Content. The Company also has no control over the quality or safety or content posted by users on our site, or the truth or accuracy of listings. We do not ensure or guarantee that a user of our site will actually complete a transaction or act lawfully in using our Website. Further, we cannot ensure a Sitter will not cancel an appointment previously made. We also do not have control, supervise or provide any training or equipment to Sitters, and we have no control over the quality, timing, legality, failure to provide, or any other aspect whatsoever or the services provided by Sitters. Persons seeking services (“Families” or “Groups”) are required to make their own assessment of the Sitters such Families or Groups decide to interact with, engage with, and receive services from. As provided in these Terms, you release Sunshine Sitters (including, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns) from any claims or liability that may arise from any disputes between you and other users of the Website and the App. **Tax Implications.** Sunshine Sitters is not an employment service and we do not serve as an employer of any Sitter. Each Sitter and persons seeking services (“Families” or “Groups”) are solely responsible for any tax, withholding or reporting, including, but not limited to, unemployment insurance, workers’ compensation, Social Security or payroll withholding tax or income reporting in connection with any services provided by Sitters. You agree if Company is found to be liable for any tax, withholding tax or reporting obligation in connection with any services provided by or received by you, then you will immediately reimburse and indemnify Company for all related costs, expenses and liabilities (including interest, penalties and attorney’s fees). **Intellectual Property Rights.** The Website, App and their content, features and functionality, except for User Content (which are licensed to Company pursuant to the User Content section below), are owned by Sunshine Sitters, its licensors or other providers of such material and are protected by Federal and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You use of the Website must be personal and non-commercial in nature. With respect to the App and subject to these Terms of Use, Sunshine Sitters grants you a limited, non-exclusive and non-transferable license to: (i) download, install and use the App for your personal, non-commercial use on a single mobile device owned or otherwise controlled by you (a “Mobile Device”) strictly in accordance with these Terms of Use and any end user license agreement or other agreement related to the Mobile Device or applications on or accessible through the Mobile Device between you and any third party; and (ii) access, download, and use on such Mobile Device the content and services made available in or otherwise accessible through the App, strictly in accordance with these Terms of Use and any end user license agreement or other agreement related to the Mobile Device or applications on or accessible through the Mobile Device between you and any third party. By use of the Website, App and the Sunshine Sitters platform, you acknowledge and agree no other form of payment, including, without limitation, cash, Venmo, PayPal, and the like) is acceptable for receiving payment for services scheduled through Sunshine Sitters and Families and Groups agree that Sunshine Sitters will charge your credit card on file to pay all fees, tips, cancellation fees, and service charges scheduled through Sunshine Sitters.. Sunshine Sitters reserves the right to increase or decrease the Fees from time to time by updating and listing the new Fees on the Website. At Sunshine Sitters’ discretion, Sitters may not be able to apply for jobs if their account balance is negative due to cancellation fees. Once a Family or Group and a Sitter have scheduled services through their use of the Website or App and the Family or Group has confirmed that they have received the services from Sitter, Sunshine Sitters will facilitate payment of the applicable Fees. All undisputed Fees shall be payable after a job has been provided to the Family or Group; provided, however, Company may correct clerical errors related to any Fees by providing notice by email and a reasonable opportunity for you to object to the correction. Clerical errors include without limitation minor mistakes or unintentional or duplicate Fees. Disputed Fees shall not be paid until a resolution is reached between Sunshine Sitters and Sitter. Once a Family and a Sitter have scheduled services through their use of the Website or the App and the Family has confirmed that they have received the services from Sitter, we will facilitate payment of the applicable Fees. Any Fees incurred by Families are due immediately. If a Family or Group fails to confirm or complete the transaction in the App within forty-eight (48) hours, the Family or Group authorizes Sunshine Sitters to charge the credit card associated with the Family’s or Group’s account. In such event, Sunshine Sitters will send you an email receipt. A family that cancels within 3 hours of a scheduled appointment will be accessed the full amount due for that appointment; less than 48 hour notice will hold a $35 cancellation fee and a cancellation more than 48 hours before a confirmed appointment will be accessed a $10 cancellation fee. Payment processing services on Sunshine Sitters are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms of Use on Sunshine Sitters, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Sunshine Sitters enabling payment processing services through Stripe, you agree to provide Sunshine Sitters accurate and complete information about you and authorize Sunshine Sitters to share it and transaction information related to your use of the payment processing services with Stripe with our Privacy Policy. If a Sitter contacts any Family or Group directly for the purpose of arranging a job in circumvention of the Sunshine Sitters platform, Company may assess a circumvention fee of $500.00 against the Sitter. A circumvention fee may also be assessed against a Sitter, if a Family or Group contacts the Sitter directly and the Sitter accepts a job in circumvention of the Sunshine Sitters platform. Company may assess a minimum circumvention fee of $500.00 against a Family or Group if such Family or Group chooses to contact any Sitter directly with the intention of arranging services. You covenant and agree that you will not (i) circumvent or attempt to circumvent the obligation to pay Fees related to Company’s provision of services; (ii) circumvent or attempt to circumvent Company’s messaging tools or platform; (iii) establish a contact or continuing a relationship with a Sitter where such contact or relationship was established primarily through the Website or the App for purposes of any of the foregoing; or (iv) dispute Fee amounts for illegitimate reasons. **Links from the Website or the App.** If the Website or the App contains links to other sites provided by third parties, including, without limitation, links in advertisements, these links are provided exclusively for your convenience. Sunshine Sitters has no control over the contents of those resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you access any of the third party websites linked to the Website or the App, you do so at your own risk and subject to the terms of use of each such websites. **Text Messaging and Phone Calls.** If you provide Sunshine Sitters with your phone number and using the services made available by the Website or the App, you affirmatively consent to receiving communications, via phone calls and text messages, from Sunshine Sitters. Although we do not charge for sending text messages, your carrier may charge a fee. Users of the App may have the option to receive push notification alerts from Sunshine Sitters. If push notification alerts are available, you will be given an option to consent to receiving them after you download the App. You may also adjust your push notification settings in your mobile device settings. Each party hereby irrevocably submits to the exclusive jurisdiction of the state and federal courts of the State of Florida for the purposes of any proceedings arising out of this Agreement. **Class Action Waiver.** YOU HEREBY AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT. **Limitation on Time to File Claims.** ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE, THE WEBSITE, OR THE APP MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. **Waiver and Severability.** No waiver by Sunshine Sitters of any term or condition contained in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Sunshine Sitters to assert a right under these Terms shall not constitute a waiver of such right or provision. Should any provision of these Terms be declared invalid, void, or unenforceable by a court or other tribunal of competent jurisdiction, the validity and binding effect of all remaining portions will not be affected, which will remain in full force and effect, and the offending provisions shall be deemed modified and reformed to the minimum extent necessary to make them valid and enforceable. **Entire Agreement.** These Terms of Use, our Privacy Policy, and any other terms and conditions incorporated herein or therein by reference constitute the sole and entire agreement between you and Sunshine Sitters with respect to the Website or the App and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website and the App. ** Changes to the Terms of Use.** Our policy is to post and changes we make to these Terms on the Website and the App. All changes to the Terms are effective when posted and apply to all access and use of the Website or the App thereafter. Continued use of the Website or the App following the posting of revised Terms of Use means you accept and agree to the modified Terms. You are responsible for periodically reviewing this Policy. **SITTER AGREEMENT** THIS SITTER AGREEMENT (“Agreement”) is made this ___ day of _____________, 20___, by and between the undersigned sitter (“Sitter”) and Sunshine Sitters, LLC, a Florida limited liability company (“Sunshine Sitters” or “Sunshine Play Group” or “Company”). WHEREAS, the Sunshine Sitters desires to refer the Sitter for babysitting, pet sitting, tutoring, and/or event assistance services (each referral being a “Job” and collectively, “Jobs”), from time to time; WHEREAS, the Sitter desires to receive Job referrals from Sunshine Sitters; and, WHEREAS, the parties hereto desire to enter into an agreement for the Sunshine Sitters’s interaction with the Sitter on the terms and conditions contained in this Agreement; NOW, THEREFORE, in consideration of the premises, the mutual promises hereinafter contained, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto hereby agree as follows: 1. Referrals. Subject to the terms and conditions of this Agreement, Sunshine Sitters shall refer the Sitter for Jobs from time to time and the Sitter hereby accepts the terms and conditions of this Agreement. 2. Independent Contractor. 2.1. The Sitter agrees and acknowledges Sitter is an independent contractor in Sitter’s relationship with Sunshine Sitters or Company and this Agreement in no way intends or creates an employment, partnership, agent, or joint venturer relationship between Sunshine Sitters and Sitter. 2.2. The Sitter shall control the manner and means by which the Jobs accepted pursuant to this Agreement are achieved and completed. 2.3. The Company shall not be responsible for withholding taxes with respect to the Sitter’s compensation for Jobs. 2.4. The Sitter is not entitled to and shall have no claim against Sunshine Sitters or Company for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind. 2.5. At no time during the term of this Agreement shall the Company be required to provide the Sitter with a minimum quantity of Job referrals. Similarly, the Sitter shall not be obligated to accept any Job referrals and shall be free to accept the same or similar work from sources. 2.6. The Sitter has no right, power, or authority to create any contracts or obligations, either express or implied, on behalf of or in the name of Sunshine Sitters or Company. 2.7 During the term of this Agreement, the Sitter shall be solely responsible for all expenses which are incurred in connection with the performance of the Sitter’s accepted Jobs. In addition, the Sitter is solely responsible for any personal items (phone, iPad, laptop, etc.) brought to a Job. Neither the Company nor any family is responsible to reimburse the Sitter for any loss or damages to items brought to a Job. 3. Compensation and Fees. The Sitter agrees and acknowledges the schedule of fees (“Fee Schedule”) the Sitter shall be paid for the completed Jobs is set forth on Sunshine Sitters’ website, www.SunshineSittersPlay.com, and such fees are subject to change from time to time without notice. The Sitter agrees that in order to receive Job referrals from the Company, the Sitter must maintain an account with Stripe (the “Sitter’s Account”). The Sitter agrees and acknowledges that a cancellation fee will be assessed against the Sitter’s Account for cancellations made within certain periods of time prior to the scheduled start time of an accepted Job. The Sitter agrees that the Company may reduce the Sitter’s Account balance, in addition to the Sitter fee for the Job, according to the following cancellation fee schedule: • $10 for a cancellation made any time after acceptance of Job referral; • $25 for a cancellation made within three (3) hours of Job start; • $50 for a cancellation made after a Job has started. • Sitter may also be assessed a $5.00 fee if Sitter is late for a job. 4. Sitter Covenants. 4.1 Administration of Medication. The Sitter covenants do not authorize the Sitter to administer medication to any person or pet. The Sitter agrees to indemnify and hold Sunshine Sitters harmless from any loss, liability, attorney fees, damage or cost that the Company may incur arising out of, or related to, the administration of any medication to any person or pet by the Sitter. 4.2 Driving. The Sitter covenants not to drive any persons or pets by any vehicle while performing the sitting services. The Company does not provide the Sitter with insurance coverage related to the transportation, by any vehicle, of any persons or pets related to the Sitter’s performance of the sitting services hereunder. The Sitter hereby agrees to indemnify, save and hold harmless the Company from and against any loss, liability, attorney fees, damage or costs that the Company may incur arising out of, or related to, the Sitter’s transportation of any person or pet in any vehicle in the course of performing a Job. 4.3 No photographing or videoing. The Sitter covenants not to photograph or make videos of any child, which is a violation of a child’s right to privacy. Such action will result in immediate termination and forfeit of any balance in the Sitter's Account with the Company. 4.4 Personal Devices. The Sitter covenants not to allow any child to view or listen to any content on any personal device owned by the Sitter, including, without limitation, a phone, iPad, or laptop. 5. Sitter Representations and Warranties. 5.1 Sitter represents and warrants Sitter possesses the training, skills and expertise necessary to perform the Jobs and obligations of this Agreement in a competent and professional manner. 5.2 Sitter represents and warrants Sitter is sixteen (16) years of age or older. 5.3 Sitter represents and warrants Sitter is currently certified in CPR and will provide evidence of same upon the request by Sunshine Sitters. 5.4 Sitter represents and warrants Sitter can perform the Jobs and obligations of this Agreement in a professional manner, using that degree of care and skill ordinarily exercised by and consistent with the standards of competent service providers performing comparable services in the region. 5.5 Sitter represents and warrants it has the power and authority to enter into this Agreement and that it is not a party to any restrictions, agreements or understandings whatsoever which would prevent or make unlawful such party’s acceptance of the terms set forth in this Agreement or such party’s performance hereunder. Sitter further represents and warrants its acceptance of the terms of this Agreement and the performance of its obligations hereunder do not and will not (with the passage of time) conflict with or constitute a breach or default of any contract, agreement or understanding, oral or written, to which such party is a party or by which such party is bound. 6. Non-circumvention. The Sitter agrees to schedule Jobs only through the Company and not through any third party including, but not limited to, any group or family. The Sitter hereby covenants and agrees not to directly contact families met through the Company or its website, including families referred to the Sitter by the Company’s members, and further agrees not to schedule Jobs if contacted by families or groups, except through the Company or its website. In the event that the Sitter violates this provision, the Sitter hereby authorizes the Company to charge either Sitter’s credit card or the Sitter’s Account, as the case may be, a fee of $500.00 for each such violation. The covenants and agreements set forth in this Section shall survive the termination of this Agreement for a period of one (1) year. 7. Purchase of Release. The Parties agree that the Contractor: Can Purchase a Release. The Contractor has the option, during the Term or any period thereafter, to purchase and waive all liability under this Agreement for the sum of $3,500 as payment to the Agency. 8. Confidential Information. The Sitter understands the importance of preserving the confidential nature of the information of the Company. This includes, but is not limited to, Company data and records relative to business interests, client information, pricing, fees, cancellation fees, confidential child information, insider information, trade secrets, website functionality, and know-how. This also includes information wherein the Company has an obligation of confidentiality to a third party and information concerning any child, co-worker, independent contractor, associate, volunteer or workforce member. The Sitter understands the necessity that such information not be compromised or disclosed for any reason other than necessary business needs. The Sitter agrees to receive and maintain all Confidential Information in strictest confidence using, at a minimum, reasonable care and, except as provided herein, shall not use Confidential Information for its own benefit or disclose it to third parties. The Sitter is also aware and fully understands that any violation of this Section is a breach, and the Company may immediately terminate this Agreement. 9. Breach. The Sitter agrees any breach of this Agreement by Sitter will result in irreparable harm to the Company and that money damages will be inadequate and difficult to measure. Therefore, in addition to any other remedy at law or equity available to the Company, the Sitter agrees that the Company shall be entitled to temporary, preliminary, and permanent injunctive relief to prevent any actual or threatened breach or continuation of any breach of this Agreement, or to cure any breach of this Agreement, without the necessity of proving actual damages or posting a bond or other security therefore. 10. Reasonableness of Agreement and Severability. The Sitter agrees the covenants and agreements herein are reasonable and necessary to protect the Company's legitimate business interest. Should any provision of this Agreement be declared invalid, void, or unenforceable by a court or other tribunal of competent jurisdiction, the validity and binding effect of all remaining portions will not be affected, which will remain in full force and effect, and the offending provisions shall be deemed modified and reformed to the minimum extent necessary to make them valid and enforceable. 11. Term; Termination. This Agreement shall commence on the date first above written and shall continue in full force and effect until terminated by either party. The Company reserves the right, in its sole discretion, to close the Sitter's Account at any time, for any reason or no reason, without advance notice. In such event, the Company reserves the right to notify families to which the Sitter has been assigned previously. If the Sitter’s Account is closed by the Company for any reason, the Company shall be entitled to any fees owed to it prior to the termination. 11.1 Return of Materials. Upon termination or expiration of this Agreement, or upon written request of the Agency, the Contractor shall promptly return to the Agency all physical and digital materials representing the Agency’s Confidential Information and all copies thereof. The Agency shall notify the Contractor immediately upon discovery of any loss or unauthorized disclosure of the Confidential Information. 12. Indemnification. Sitter shall indemnify, defend and hold Company harmless from and against any liability arising out of or in connection with the negligent or willful acts of Sitter in the performance of its Jobs or other obligations hereunder. 13. Successors and Assigns. All of the provisions of this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, if any, successors, and assigns. 14. Governing Law; Jurisdiction. This Agreement shall be governed and construed by the laws of the State of Florida. Each party hereby irrevocably submits to the exclusive jurisdiction of the state and federal courts of the State of Florida for the purposes of any proceedings arising out of this Agreement. 15. Counterparts. This Agreement may be executed simultaneously in two (2) or more counterparts, each of which will be deemed an original, and she will not be necessary in making proof of this Agreement to produce or account for more than one such counterpart. In addition, this Agreement may be executed and delivered by electronic signature, which shall constitute a valid and enforceable signature. The parties agree that an electronic signature shall have the same legal effect, validity and enforceability as a wet signature. 16. Headings. Section headings are not to be considered a part of this Agreement and are not intended to be a full and accurate description of the contents hereof. 17. Waiver. Waiver by one party hereto of a breach of any provision of this Agreement by the other shall not operate or be construed as a continuing waiver. 18. Assignment. The Sitter shall not assign any of her rights under this Agreement or delegate the performance of any of her duties hereunder, without the prior written consent of the Company. 19. Notices. Any and all notices, demands, or other communications required or desired to be given hereunder by any party shall be in writing and shall be validly given or made to another party if personally served, or if deposited in the United States mail, certified or registered, postage prepaid, return receipt requested. 20. Modification or Amendment. No amendment, change to or modification of this Agreement shall be valid unless in writing signed by the parties hereto. 21. Entire Understanding. This Agreement and the exhibit attached hereto constitute the entire understanding and agreement of the parties, and any and all prior agreements, understandings, and representations, whether written or oral, are hereby terminated and canceled in their entirety and are of no further force and effect. IN WITNESS WHEREOF, the parties have caused this Independent Contractor Agreement to be executed as of the date first written above.
